These terms are provided as a good-faith draft and should be reviewed by qualified legal counsel before being relied upon.
These Terms of Service ("Terms") govern your access to and use of Lemmatica, a web-based Goal Structuring Notation (GSN) editor operated by OpenForte ("we", "us", "our"). By accessing or using the service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using Lemmatica, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of Service
Lemmatica is a web-based collaborative editor for creating, editing, and validating assurance cases using Goal Structuring Notation (GSN). The service enables teams to develop structured assurance arguments following the GSN V3 specification, with support for real-time collaboration, document management, and validation.
3. Account Registration
To use Lemmatica, you must create an account through our authentication provider, Kinde. You agree to:
- Provide accurate and complete registration information.
- Maintain the security of your account credentials and not share them with others.
- Notify us promptly of any unauthorised use of your account.
- Accept responsibility for all activity that occurs under your account.
4. Acceptable Use
You agree not to use Lemmatica to:
- Engage in any activity that violates applicable laws or regulations.
- Abuse, harass, or interfere with other users or their use of the service.
- Attempt to reverse engineer, decompile, or disassemble any part of the service.
- Introduce malicious code, viruses, or any other harmful material.
- Interfere with or disrupt the integrity or performance of the service or its infrastructure.
- Access or attempt to access accounts, data, or systems that you are not authorised to use.
5. Intellectual Property
Your content. You retain full ownership of all assurance cases, documents, and other content you create using Lemmatica. We do not claim any intellectual property rights over your content.
Licence to us. By using the service, you grant OpenForte a limited, non-exclusive, royalty-free licence to host, store, transmit, and display your content solely as necessary to operate and provide the service to you and those you share it with.
Our platform. Lemmatica, including its design, code, features, and documentation, is the intellectual property of OpenForte. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology beyond what is necessary to use the service.
6. Service Availability
We will use commercially reasonable efforts to make Lemmatica available and reliable. However, we do not guarantee uninterrupted or error-free operation. The service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control. We will endeavour to provide advance notice of planned downtime where practicable.
7. Limitation of Liability
To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
OpenForte shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service, including but not limited to loss of data, loss of profits, or business interruption.
Important: Lemmatica is a tool for developing and managing assurance arguments. It is not a substitute for professional assessment, independent review, or regulatory compliance. Users are responsible for ensuring the adequacy and correctness of their assurance cases through appropriate professional processes.
8. Termination
Either party may terminate this agreement at any time. You may close your account by contacting us. We may suspend or terminate your access if you breach these Terms or if continued provision of the service becomes impracticable.
Upon termination, you will have 30 days to export your data from the service. After this period, we may delete your account data in accordance with our Privacy Policy.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the Australian Capital Territory, Australia. Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of the Australian Capital Territory.
10. Changes to Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice via email or an in-app notification before the changes take effect. Your continued use of the service after the effective date of revised Terms constitutes acceptance of those changes. If you do not agree with the updated Terms, you may close your account before they take effect.
